Business (MSB), established in late 2025, The
Companies are fully compliant with FINTRAC regulations, with all
necessary licenses and reporting systems are active and in good standing.
The licenses cover services including foreign exchange, money
transfer, virtual currency, and PSP, with the flexibility to add more.

Current Status of the Companies

As part of this offer, the seller confirms and declares the following
Regarding the companies being acquired:

Dormant Status
The seller affirms that the companies have remained dormant since
their respective incorporations. Neither company has undertaken
trading activities, business operations, or commercial transactions.

Bank Accounts
The seller confirms that neither company has opened or held any bank accounts
accounts in their names since incorporation.

Liabilities
The seller declares that both companies have no outstanding
liabilities, debts, or financial obligations of any kind, whether owed
to private entities, government agencies, or individuals.i

Buyer’s Non-Liability
It is agreed that the buyer of the companies shall bear no liability,
responsibility, or obligation for any actions, debts, or commitments
made before the date of sale. Any liabilities incurred before the sale
date remain the seller's sole responsibility.

Bank Account Opening Services

Account Types: One retail account and one for high-value wire transfers
transfers (retail transactions allowed if KYC is satisfactory).

*Additional bank accounts are also available.

Junior Chief Compliance Officer: Support for compliance oversight and
management.

Operational Compliance Reporting: Ensures all reporting requirements
are efficiently met. Ongoing management of policy and procedure is
included at no extra cost.
