All wells are currently producing with no immediate P&A liabilities.

1. East Feliciana Parish - "Beech Grove" (unidraulic)
2. East Feliciana Parish - "Richland" (RotaFlex)
3. West Feliciana Parish - "SLC" (unidraulic).

Type of Interest conveyed: Leasehold Interest/Working Interest/Operating Interest. No land/surface/mineral ownership.

Personal Property: Seller to convey personal property located on the leased premises, including but not limited to tanks, pump jacks, motors, injection pumps, tubing, rods, and other equipment used in the daily operations for the production of oil and/or gas, unless specifically reserved. Seller shall convey all personal property through a bill of sale.

Terms: 10% (or other accepted amount) escrow deposit due on the date of contract acceptance, 6% buyers premium due at closing, closing to occur as soon as necessary documents are prepared. Have financial arrangements made prior to submitting offer, sale is not contingent on buyer (s) ability to obtain financing.

Title: Buyer at buyer's cost and expense, shall perform all title searches, lien searches, due diligence checks and other research pertaining to the property, as permitted by the sales contract, prior to closing, seller agrees to provide to buyer all information contained in the seller's files (subject to a non-disclosure agreement) that pertain to the title, including copies of assignments, leases, advalorem tax statements, oil run statements, division orders, mortgages and other information that supports the validity of the lease and seller's ownership thereof and seller agrees to transfer all interest they own in the property, free and clear of all liens, mortgages, and back taxes.
