2. UBO declaration - required due to new EU law, every company when owner is changed has to submit details of new owner to the special government register. Not doing this can cause multi-million penalties.

3. PESEL number - this is Polish personal identification number, we will need to go to Warsaw town hall and get it for the new director via POA.

4. Electronic signature device - for new owner and for new director (if one person). This device will allow us to make company sale remotely via electronic system of company register (so new shareholder needs this). This device is also needed for new director to be able to submit UBO declaration, and in future financial statements to company register, etc. So if it is the same person it is just one device needed.

5. Virtual office - 1 year virtual office service (company has registered address), this service includes scanning of all incoming physical mail that comes to company registered address, sending to client, and translation to English of all essential mail that might come in future from authorities, company register, tax office, etc. This also includes short consulting services about each letter, what to do, how to react, etc.

MICA update:
Regarding MiCA implementation in Poland, the regulation was expected to begin entering into force at the end of 2024. However, the national legislative process in Polish parliament is still ongoing, and the final timeline for full implementation remains uncertain. The relevant bill regulating crypto-assets is currently under development in the Polish Parliament. Our legal team is directly involved in this process, participating in the working group assisting the Parliament with drafting the legislation.

According to the current draft of the bill, once the new law comes into force, companies already holding a VASP license will have a four-month window to apply for a MiCA-compliant license. Given the early stage of the legislative process — with only a small fraction of the necessary work completed — we estimate that VASP-licensed companies will be able to operate under the existing framework at least until the end of this year. Thereafter, it will be necessary to transition to a MiCA license.
