I am in search for a partner, investor, or buyer to acquire an interest in a proposed operating subsidiary of a U.S. OCC-regulated bank.

The subsidiary would provide nationwide retail mortgage origination opporitunity and offers direct access to the Federal Home Loan Bank’s (FHLB) lower cost of funds, among other advantages. The opportunity involves a 9.7% stake (220,000 shares) in the bank, representing a $2.2 million capital investment from the partner, investor or buyer. These shares were acquired a year ago to secure benefits outlined in a Support Agreement I negotiated with the bank. The Support Agreement facilitates the establishment of Loan Production and Deposit-Taking Offices (LPO/DPO) and provides a strategic advantage in negotiating favorable terms, including reduced costs for warehouse and gestation facilities.

LPO/DPOs could be set up across the country, similar to “Capital One Cafes,” but with their own distinct theme and atmosphere. They could provide ATM access, as well as mortgage, auto, student, and business loan applications managed by financial service representatives, all within a cozy bakery or coffee shop setting.
