Reg "A" Company for Sale & Ready to Merge "Public"

We have a Delaware Reg "A" company current with the SEC, with public shareholders, free-trading stock and looking to merge before filing the 2-11. The company was never a shell but planning to attain the DTC pre-listing.

The company is very well structured and has what’s called (The Google structure) with 1 billion shares authorized, 100 million outstanding, Class A, B, C and preferred shares, and with the proper corporate governance. The company is qualified to list on the OTCQX, NASDAQ or NYSE.

This company is suitable to merge with: High-tech, fintech, Software, AI, social media, medical-tech, Education-tech or biotech operations. Preferably with proven concept, some revenue or special situation.

Post-merger: We can conduct a continuance offering "Shelf Offering” to raise capital for up to $75 million under Reg A rules per one calendar year. The continuance offering is extremely attractive way to raise capital since the company will be selling public shares directly on the exchange. No need for middleman or bankers, direct offerings and direct listings are the way to go now.

SPACs cost north of 1.5 million in addition to about 30% equity dilution by the SPAC sponsors and bankers, but this exceptionally clean Reg A company doesn’t come with this inherited substantial dilution as the SPAC.
