The offering consists of a holding entity and two operating entities, which will hereinafter be collectively referred to as the Company. The Company is a manufacturer and installer of countertops, tubs, and shower surrounds made from laminate, cultured marble, or natural stone such as granite or quartz.

· The Company operates from two facilities with a combined 103,602 sq. ft. of manufacturing and office space in the Southwest U.S. The facilities are leased from an unrelated third party and the lease is assumable by new ownership.

· The Company is owned by a single shareholder who is seeking retirement but is open to remaining with the Company in an advisory role. Ownership will consider a variety of deal structures in order to facilitate a transaction.
