Project Finance is a financial structure used to power the development of a broad spectrum of assets.

The project is "ring-fenced" from the Sponsoring Entity that is putting the transaction together via a Special Purpose Vehicle (SPV). That means lenders' claims are solely limited to the collateral in the SPV (Property, Buildings, and Cash Flows the SPV generates).

As a result, the amount of debt that can be raised in Project Finance is based on 'the Projects' ability to repay debt through the cash flows generated of that project alone' -- this is the key point!

As discussed, with a Guarantee, our ‘project finance’ community can provide efficient access to Guaranteed Unsecured Senior Note purchasers with capacity in USD Billions.

Although a financial Guarantee by an Investment Grade Entity is acceptable, the fastest structure to fund involves a Guarantee linked to a specific bundle of assets - usually an SPV of managed investments.

The actual Guarantee structure will involve a pledge of all Project collateral to the Guarantor in exchange for the Guarantee. In that sense, the Lender is "unsecured" vis-a-vis the collateral and does not need to evaluate all of the project risks or downside risks related to Project liquidation or litigation timing and results, etc.

The Guarantee needs to include the following:
• Irrevocable and unconditional guarantee;
• Payment provided when the Senior Note is due (whether at stated maturity, by acceleration, or otherwise);
• Payment of all principal and accrued interest and all other charges includible under the Unsecured Senior Note ;
• Payment of all costs and expenses arising due to deficiency or default by the Borrower including attorney's fees;
• Waiver of all Defenses by the Guarantor;
• Waiver of Subrogation Rights by the Guarantor; and
• All typical Reps and Warranties by the Guarantor.
