Seeking DoD / GovCon Contractor for Acquisition

We are actively seeking an acquisition or merger of a U.S.-based business that supports the Department of Defense (DoD) or related federal and municipal markets. Our company is under contract with the U.S. Army to deliver energy, water, and resiliency solutions for a military base.

Target Business Profile
Industry: Defense/GovCon contractors, marine engineering and services, water treatment/desalination, HVAC/district cooling, or grid/subsea cable specialists.

Revenue/EBITDA: $3M–$50M annual revenue with EBITDA margins ≥10%. Smaller firms may be considered if they are highly strategic. Must be profitable.

Customer Base: Strong DoD, federal, or municipal contracts. Preference for companies with recurring or multi-year revenues.

Geography: U.S.-based, ideally East Coast, Gulf Coast, or Pacific states. National or relocatable firms are also considered.

Certifications: Facility security clearances (Secret/Top Secret), ITAR/DFARS compliance, ISO, and safety standards.

Management: Retention of existing leadership and cleared technical staff is preferred.

Deal Structure: Flexible — majority acquisition, asset purchase, or merger; open to earnouts or seller financing.
