Series A Funding on Regulation D

Business was formed on June 17, 2019 in Wyoming, USA. The company initially focused on a honey business with plans to expand into European markets, as evidenced by its SEC Form S-1 filing on September 21, 2021, aimed at raising capital for this purpose. However, the outbreak of the Russia-Ukraine conflict in February 2022, which persisted for over three months, coupled with rising operating costs, forced the company to withdraw its SEC registration on June 16, 2022, and subsequently cease its honey business at the end of 2022.

In 2023, the company restructured and rebranded. As part of its strategic pivot, and with the support of USD 7.5 million in funding from directors, the company diversified its business operations by acquiring a certified pharmaceutical manufacturer and a building & construction company based in Singapore. The acquisition of the pharmaceutical manufacturer is intended to extend its food health and safety standards to the honey straw manufacturing process, while the construction company acquisition is designed to support the development of new honey straw production facilities in targeted regions. This realignment reflects the company’s commitment to integrating high quality manufacturing processes with an in-house construction capability, thereby enhancing product safety standards and enabling future expansion into new territories.
Business is authorized to issue 3,000,000,000 common shares with PAR value of $0.01 each. Our current outstanding shares are 2,790,914,515. We have previously made a private placement under regulation S, which raised $331,150.

In this private placement, we filed for rule 504 of the SEC regulation D on March 17, 2025, to offer 20,000,000 shares of our common stock in exchange for cash. The offering is being made on a self-underwritten, “best efforts” basis. The shares offered by the Company will be sold on our behalf by our Chief Executive Office who is deemed to be an underwriter of this offering. He will not receive any commissions or proceeds for selling the shares on our behalf but may appoint other underwriter who may be paid a commission. All of the shares being offered for sale by the Company will be sold at a fixed price of US$0.50 per share for the duration of the Offering. There is no minimum amount we are required to raise from the shares being offered by the Company and any funds received will be immediately available to us. There is no guarantee that we will sell any of the shares being offered in this offering. Additionally, there is no guarantee that this Offering will successfully raise enough funds to institute our Company's business operation and expansion plan. Although we intended to bring the Company public on OTCQB, there is no guarantee that a public market will ever develop, and you may be unable to sell your shares.

This private offering will terminate upon the earliest of (i) such time when all of the common stock offered has been sold or (ii) 365 days from the effective date of the Regulation D filing unless extended by our Board of Directors for an additional 90 days. We may however, at any time and for any reason terminate the offering.
