$15K Leasehold-Backed Bridge Note — Energy Project

Description:

Through a secured SPV we are raising a $15,000 secured bridge note to finalize land acquisition and record title for a hybrid renewable pilot (Solar + BESS + Hydrogen) in Kern County, California.

Use of Funds:

Payoff Contract-for-Deed balance ($11,247)

Closing & title costs (~$3–$5K)

Collateral:

99-year leasehold agreement ($1/year rent)

Fixed purchase option at $11,247

UCC-1 filing to perfect investor’s security interest

Investor Terms (Choose One):

12% Fixed Coupon — 12-month secured bridge note. Repayment = $16,800.

Equity Kicker Option — Investor may roll into the next entitlement round ($50K - $100K) and receive a 2% equity stake in the Kern Hybrid Project SPV.

Contingency: Equity kicker only applies if the project achieves full entitlement funding and proceeds to development. If not, repayment is principal + 12% coupon.

Exit: Repayment at 12 months or upon close of entitlement raise.

This staged financing approach allows investors to secure a short-term fixed return now, with the option to participate in project upside once entitlements are funded.
