This is a JOBS Act 100% collateralized enterprise matching stocks/bond Reg. D announcement in the amount of twenty million dollars ($20,000,000.00), pursuant to Rule 506(c) of the rules and regulations of the United States Securities and Exchange Commission.


Min./max. is $5M/$20M.

This is a full quarry-to-customer logistics supply chain program project for a new E.V. battery reagent product, hydrated quicklime, that is out for funding and to be built next to the limestone quarry in the desert in California.

The major components of this announcement are for the acquisition of a logistics distribution center, and then the robotics retrofit to accommodate the heavy weight of the hydrated quicklime, as a transit center.

The other major component of this announcement is for the costs for the transportation of raw limestone to the new plant site, 26 miles nearby.

Potential profits from the sale of raw limestone and also hydrated quicklime purchased on the open market, while the new plant is being built, are $127 million in the first full year of operations.

Projected approximate annual profits from the stockpile component are $118M.

JOBS Act instruments carry the ability to be enforced by the full weight of the Government of the United States as enforced by the United States Securities and Exchange Commission, the S.E.C.

In addition, JOBS Act instruments are paired with S.E.C. Rules 144 and 144A, allowing for the resale of all or part of the bond on Day # 366 after coupon purchase.

The program project provides for 100% collateral.

The collateral is covered 100% by liens.
